The parties and acceptance
VarnaCard is provided by VarnaCard, a company registered in the Islamic Republic of Iran (“VarnaCard”, “we”). “You” means the person or entity that opens an account or places an order.
By opening an account, placing an order or using the service, you accept these terms. If you do not accept them, do not use the service.
Notices and requests under these terms may be made on +98 902 522 8032.
These terms are supplemented by the Privacy Policy, which forms part of them.
Definitions
In these terms the following expressions have the meanings given to them here.
- “Card” — a digital invitation created in the service from a design published by VarnaCard.
- “Host” — the account holder who creates and sends a Card.
- “Guest” — a person who opens a Card through its link.
- “Add-on” — a paid feature purchased in addition to a Card, including additional capacity, extended availability and AI image generation.
- “Plan” — the set of limits and periods attached to a purchase, as stated at the time of purchase.
Accounts and authentication
An account is opened with a mobile number or an email address and is verified by a one-time code. You must give accurate details and keep them current.
You are responsible for all activity carried out through your account. One-time codes are personal and must not be disclosed to any other person.
You must notify us without delay if you believe your account has been accessed without your authorisation.
A person or entity may not maintain more than one account for the purpose of circumventing the limits of a Plan.
The service
VarnaCard enables a Host to personalise a published card design, share it with Guests through a single link, collect responses, and receive photographs and videos from Guests after the event.
The service is provided as a hosted service. It is not supplied as software, and no source code, design file or offline copy is provided.
We may add, modify or withdraw individual features. Where a feature you have paid for is withdrawn before the end of the period paid for, the provisions under “Refunds” apply.
Orders, prices and payment
Prices are those displayed at the time of purchase and include any applicable tax unless stated otherwise.
A contract is concluded when your payment is confirmed by the gateway and the purchased Card or Add-on is made available in your account.
Card payments are processed by Sep, the payment gateway of Saman Bank. We do not receive or store your card details.
Where an amount has been deducted but the purchase does not appear in your account, contact support with the gateway reference. An amount deducted without a corresponding purchase is returned in full.
Right of withdrawal
Under Article 37 of the Electronic Commerce Act, a consumer in a distance contract has at least seven working days in which to withdraw from the contract, without penalty and without giving a reason. Article 38 provides that, for services, this period runs from the conclusion of the contract.
You may exercise this right by contacting us on +98 902 522 8032 from the number registered to your account. Where the right applies, the amount received is returned in full and without deduction.
The right does not apply once the service has been performed. A Card is a service personalised to your instructions and performed at your express request. Performance is complete when the Card is sent to one or more Guests, or when an Add-on is consumed — in the case of AI image generation, when an image has been generated.
Sending a Card, or consuming an Add-on, before the seven working days have elapsed constitutes your express request that performance begin within that period, and brings the right of withdrawal to an end at that point.
Refunds
Save where the right of withdrawal described above applies, purchases are not refundable.
In particular, no refund is due after a Card has been sent to Guests, after the event has taken place, or in respect of an Add-on that has been consumed.
Where we fail to provide a purchased feature and do not remedy the failure within a reasonable period, we refund the amount paid for that feature.
Where an account is suspended or closed because of your breach of these terms, no refund is due for the unused part of any purchase.
Our intellectual property
All card designs, templates, illustrations, motion, code, and the VarnaCard and VarnaCard names and marks are owned by VarnaCard or by its licensors.
On purchase you receive a limited, personal, non-exclusive and non-transferable licence to use the purchased design, through the service, for the single event for which it was purchased.
You may not copy, extract, decompile, resell, sublicense or redistribute a design, use it outside the service, or use it or any part of it to produce another invitation, product or template.
The licence ends when the account is closed or when the Card ceases to be available under the Plan.
Your content
You retain ownership of the names, text, images, audio and video you provide and of the guest list you enter.
You grant VarnaCard a limited licence to store, reproduce, adapt in format and transmit that content solely in order to provide the service to you and to the Guests you designate. The licence is granted for no other purpose and ends when the content is erased.
You warrant that you hold the rights necessary to the content you upload and that it does not infringe the rights of any third party.
We do not use your content to promote VarnaCard and do not use it to train any model. Content is not reviewed before publication, but content that breaches these terms may be removed.
Your obligations towards Guests
You determine the guest list. You warrant that you have a legitimate reason to contact each person you add about the event concerned.
You must not use the service to send unsolicited commercial messages, or to contact a person who has asked you not to contact them.
You must deal with requests from your Guests concerning their own data, and must instruct us promptly where erasure or correction is required.
You are responsible for what your Guests are told through your Card. VarnaCard is not a party to the relationship between you and your Guests.
Acceptable use
The following are prohibited and constitute grounds for the immediate suspension or closure of an account.
- Uploading or transmitting sexual or pornographic material, or material otherwise unsuitable for a general audience.
- Content that is unlawful under the laws of the Islamic Republic of Iran.
- Content that incites, threatens or glorifies violence, or that harasses, defames or endangers any person.
- Sending unsolicited or bulk messages to Guests, or using a guest list obtained without a legitimate reason.
- Impersonating another person or entity, or misrepresenting your connection with an event.
- Attempting to obtain unauthorised access to the service, to another account, or to a Card that was not sent to you.
- Circumventing the limits of a Plan, or any security measure, rate limit or payment control.
Availability of the service and of Cards
We seek to keep the service available continuously but do not guarantee uninterrupted availability. Maintenance, faults, network failures and the acts of infrastructure providers may cause interruption.
The period for which a Card and its Memory Inbox remain accessible is determined by the Plan purchased and by your instruction, and is stated at the time of purchase.
Download and keep your own copy of any content you wish to retain before the end of that period. We give no undertaking to retain content after it has expired.
We may take a Card offline temporarily where this is required for security, for maintenance, or in response to a lawful order.
Suspension and termination
We may remove content, suspend access or close an account where these terms are breached. Where the breach concerns unlawful content, content unsuitable for a general audience, or conduct that endangers a person, we may act immediately and without prior notice.
In other cases we give notice and, where the breach is capable of remedy, a reasonable opportunity to remedy it.
No refund is due for a purchase affected by a suspension or closure resulting from your breach.
You may stop using the service at any time and may request closure of your account as described in the Privacy Policy.
Warranties and liability
The service is provided as described in the service itself and in the Plan you purchased. We give no warranty that it will meet a requirement not stated there.
We are liable for direct loss caused by our failure to provide the service in accordance with these terms. Our total liability in respect of a Card is limited to the amount you paid for that Card and its Add-ons.
We are not liable for loss arising from content provided by you or your Guests, from a guest list you assembled, from your failure to keep your own copy of content, or from an event that does not take place or does not take place as planned.
Neither party is liable for a failure to perform caused by circumstances beyond its reasonable control, including failure of networks or infrastructure, the act of a public authority, or interruption of banking or messaging services.
Nothing in these terms limits a liability that cannot be limited under Iranian law.
Governing law, disputes and changes
These terms are governed by the laws of the Islamic Republic of Iran.
Any dispute arising out of them shall first be submitted to us through a channel listed on our contact page. If it is not resolved within thirty days, it shall be referred to the competent courts of Iran.
We may amend these terms. The date shown at the head of this page records the last revision, and material changes will be notified to account holders before they take effect.
An amendment does not affect an order already placed. Continued use of the service after an amendment has taken effect constitutes acceptance of it.
If a provision of these terms is held to be invalid, the remaining provisions continue in force.
